1. Acceptance of Terms

By accessing or using Voxipo ("the Service"), operated by Blitzgo AI ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to all the terms, you may not access or use the Service.

2. Description of Service

Voxipo is an AI voice agent platform that enables businesses to handle phone calls automatically. The platform includes AI-powered call answering, missed-call callbacks, and outbound calling campaigns. As a prerequisite to accepting conditional call forwarding from a phone number, Voxipo requires the business to verify ownership of that number via SMS one-time passcode (OTP). This prevents unauthorized parties from forwarding calls through our platform. The Service is currently in development and is not yet available for general use.

3. Eligibility

By using the Service, you represent and warrant that:

• You are at least 18 years of age and authorized to bind your business.
• You have the legal capacity to enter into a binding agreement.
• You are not located in a jurisdiction where the Service is prohibited by applicable law.
• You will provide accurate, current, and complete information during the verification process.
• You are the authorized user of the phone number you submit for verification, or have obtained explicit permission from the number's owner.

4. Account Registration & Phone Verification

To use Voxipo, you must create an account and submit a phone number for ownership verification. You agree to:

• Provide a phone number that you own and are authorized to use for conditional call forwarding.
• Complete the OTP verification process promptly when requested.
• Keep your account information accurate and up to date.
• Not submit phone numbers that belong to third parties without their explicit consent.
• Not use the Service for any unlawful or fraudulent purpose.

5. SMS and Communications

By creating an account and submitting your phone number, you expressly consent to receive SMS messages (including one-time passcodes) from Voxipo for verification and service-related purposes. You understand and agree that:

• Message frequency varies based on your use of the Service.
• Standard message and data rates may apply.
• You may opt out of SMS communications at any time by replying STOP to any message. Opting out may prevent you from using certain features of the Service that require verified caller ID.
• We will not send marketing or promotional SMS messages.

6. AI Voice Agent Services

Voxipo provides AI-powered voice agents that can handle inbound customer calls and place outbound calls on your behalf. You acknowledge that:

• You are responsible for the configuration and operation of your AI voice agent, including the scripts, prompts, and instructions provided.
• Voxipo uses artificial intelligence to generate responses in real time. While we strive for accuracy, we do not guarantee that AI responses will be error-free or appropriate for all situations.
• You are responsible for ensuring your use of AI voice agents complies with applicable laws, including telemarketing regulations, do-not-call lists, and consent requirements.
• You are solely responsible for the content of conversations handled by the AI agent, including any representations made to callers.
• Voxipo may record or monitor calls for quality assurance, compliance, and service improvement purposes as described in our Privacy Policy.

7. Conditional Call Forwarding and Number Verification

To use Voxipo's missed-call callback service, you must set up conditional call forwarding from your business phone number to our platform. Before we accept forwarding from a number, you must verify ownership via SMS OTP. You acknowledge that:

• You must own or have legal authority to use the phone number you submit for verification.
• Voxipo relies on SMS OTP verification to confirm ownership but does not guarantee that this method is foolproof against all forms of fraud.
• Callbacks are placed using a phone number provided by Voxipo, not your originating number.
• You are responsible for the accuracy of your conditional call forwarding configuration with your carrier.
• Voxipo reserves the right to reject or suspend forwarding from a number if we suspect unauthorized use or fraud.

8. User Responsibilities & Prohibited Conduct

You agree not to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Attempt to verify a phone number that you do not own or are not authorized to use.
• Use the Service to make harassing, abusive, or deceptive calls.
• Use the Service in violation of applicable telemarketing, spam, or privacy laws.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to bypass, disable, or circumvent any security or verification features.
• Reverse engineer, decompile, or disassemble any part of the Service.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to the practices described in the Privacy Policy.

10. Intellectual Property

The Service, including its design, code, branding, and content, is owned by Blitzgo AI and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our prior written consent.

11. Third-Party Services

The Service may rely on third-party service providers (e.g., SMS delivery providers, cloud hosting, telephony providers) to operate. We are not responsible for the acts or omissions of such third parties, but we ensure that our agreements with them include appropriate data protection safeguards.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLITZGO AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR COMMUNICATION FAILURES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Blitzgo AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

15. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

16. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by other means. Your continued use of the Service after changes constitute your acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved exclusively in the courts located in New Castle County, Delaware.
